Affiliate Terms of Service

These Affiliate Terms of Service (“Terms”) govern participation in the cellbot affiliate programme (“Programme”). By applying to or participating in the Programme, you agree to be bound by these Terms and our General Terms of Service and Privacy Policy. cellbot is operated by Ampliflow Ltd, a company registered in England and Wales.

1. Commission Structure

1.1 Rates

Affiliates earn a recurring commission on the pre-tax subscription fee paid by referred businesses. Commission rates are tiered based on total all-time paid conversions:

Your effective rate is derived from your total all-time paid conversions at the time each commission is calculated. Tier upgrades apply automatically.

1.2 Commission Basis

Commission is calculated on the pre-tax subscription amount (invoice.subtotal), excluding VAT and any applicable taxes. Commission is not earned on add-on modules, one-off charges, or items not part of the base Starter, Pro, or Pro Plus subscription.

1.3 Commission Duration

Standard term:Commissions on Starter and Pro referrals are payable for 12 months from the referred business’s first paid invoice.

Lifetime Pro Plus offer (limited time): Affiliates who are approved and join the Programme on or before 30 June 2026 earn lifetime recurring commissions on Pro Plus referrals — for as long as those businesses remain subscribed to the Pro Plus plan. After 30 June 2026, new affiliates will earn the standard 12-month commission on all plan tiers. Affiliates who qualified for the lifetime offer before the deadline are permanently grandfathered regardless of any future changes to this offer.

1.4 Eligible Subscriptions

Commission is only earned on paid subscriptions (Starter £49/mo, Pro £99/mo, Pro Plus £199/mo). No commission is earned on:

  • Zero or negative invoices (prorations, credits)
  • Add-on module purchases
  • Shopify-billed subscriptions (see Section 8 — Shopify Billing Exclusion)

2. Attribution & Cookie Policy

Attribution uses a first-click model. When a visitor clicks your referral link, a first-party cookie (cellbot_ref) is set on their browser with a 90-day expiry. If they sign up within 90 days, the referral is attributed to you. Subsequent clicks from other affiliates do not overwrite an existing attribution cookie.

Attribution is locked at the point of account registration — not at checkout. If a referred visitor creates an account, the attribution persists regardless of how they subsequently access the platform.

The cellbot_ref cookie is classified as a functional cookie under the UK Data (Use and Access) Act 2025 and GDPR legitimate interest grounds. No consent banner is required. Full disclosure is provided in the Privacy Policy.

3. Payout Schedule & Requirements

3.1 Schedule

Commissions are paid monthly on the 1st of each month (Net-30). Affiliates with 10 or more total paid conversions qualify for accelerated Net-15 payouts (paid on the 1st and 15th of each month).

3.2 Minimum Payout

The minimum payout threshold is £50. Approved commissions below this threshold accumulate and are paid in the first month the balance reaches £50. Approved commissions that have been held for more than 12 months are paid out regardless of the minimum threshold.

3.3 Hold Period

All commissions are subject to a 30-day hold period before being approved for payout. For affiliates with fewer than 3 total paid conversions, an extended 90-day hold period applies to all commissions to protect against fraud.

3.4 Stripe Connect

Payouts are made via our payment partner’s Connect platform. Affiliates must complete identity verification (KYC) and connect a bank account before payouts can be processed. Commissions accrue from the date of conversion but cannot be paid until verification is complete. Stripe Connect is available in 40+ countries.

4. Prohibited Activities

The following activities are strictly prohibited and will result in immediate suspension of your affiliate account and forfeiture of all pending commissions:

  • Self-referral: Using your own referral link or code to sign up your own account, related businesses, family members, or any account you have a financial interest in.
  • Brand bidding:Running paid search advertisements targeting “cellbot” or confusingly similar brand keywords on Google, Bing, or other search platforms.
  • Cookie stuffing:Placing the referral cookie on users’ browsers without their knowledge via hidden iframes, forced redirects, or any other deceptive means.
  • Spam: Sending unsolicited bulk email, social media spam, or any promotional communications that violate applicable anti-spam laws (UK PECR, CAN-SPAM, CASL).
  • Misleading claims:Making false or exaggerated claims about cellbot’s features, pricing, availability, or performance. All promotional content must be accurate and up to date.
  • Coupon or deal site distribution: Posting referral links on coupon aggregator websites or deal forums without prior written approval from cellbot.
  • Fraudulent signups: Creating or facilitating the creation of fake subscriber accounts, synthetic identities, or any other account designed to generate commissions without a genuine paying-customer relationship.

5. Clawback Policy

If a referred business receives a refund or initiates a chargeback on a payment for which you have earned a commission:

  • Full refund: The entire associated commission is reversed immediately.
  • Partial refund: A proportional amount of the commission is reversed (e.g. 50% refund = 50% commission reversed).
  • Commission not yet paid: The reversed commission is deducted from your pending balance.
  • Commission already paid:The reversed amount creates a negative balance, which is deducted from your next payout. If the cumulative negative balance exceeds £100, your account will be suspended pending review and any remaining balance may be written off at cellbot’s discretion.

6. Disclosure Requirements

You are required to clearly and conspicuously disclose your material connection to cellbot in all promotional content, in compliance with:

  • ASA CAP Code Rule 2.4— all marketing communications must be obviously identifiable as such. Use labels such as “Ad”, “Affiliate”, “Sponsored”, or “Paid partnership”.
  • FTC Endorsement Guidelines (for US-based affiliates) — disclose material connections before any endorsement.
  • CMA Guidance on Social Media Endorsements (UK) — influencers must disclose commercial relationships clearly.

Failure to disclose constitutes a material breach of these Terms and may result in account suspension.

7. Data Protection

cellbot processes referral and click data in accordance with the UK GDPR and the Data (Use and Access) Act 2025 (Royal Assent June 2025). The referral tracking cookie (cellbot_ref) qualifies for a statutory exemption under DUAA 2025 as a cookie used “for the sole purpose of enabling a service provider to determine the commission due to an affiliate.”

As an affiliate, you are responsible for ensuring your own promotional activities comply with applicable data protection laws, including obtaining any required consents from individuals you contact about cellbot. cellbot acts as an independent controller of data it collects on its platform; affiliate tracking data is not shared back to affiliates beyond the aggregated statistics available in the affiliate dashboard.

cellbot’s affiliate platform is listed as a data sub-processor in the Privacy Policy.

8. Shopify Billing Exclusion

Subscribers who buy cellbot through the Shopify App Store pay via Shopify’s billing system, not through cellbot’s direct payment processor. Because Shopify-billed subscriptions do not generate payment events in cellbot’s payment system, affiliate commission tracking is not available for Shopify-billed customers in the current version of the Programme.

If a business you referred installs cellbot via the Shopify App Store and subscribes through Shopify Billing, no commission will be automatically generated. This exclusion will be addressed in a future programme update. cellbot reserves the right to introduce manual attribution for Shopify-billed customers at its discretion.

9. Suspension & Termination

cellbot may suspend or terminate your affiliate account at any time, with or without cause. In all cases of termination:

  • Suspension for cause (e.g. fraud, TOS violation, prohibited activities): All pending and approved commissions not yet paid are forfeited. No further commissions will be accrued.
  • Termination without cause(e.g. Programme closure): Approved commissions that have passed their hold period will be paid in the next regular payout cycle. Pending commissions (still within the hold period) may be forfeited at cellbot’s reasonable discretion.
  • Voluntary withdrawal: If you wish to leave the Programme, contact us at hello@cellbot.chat. Approved commissions will be paid in the next regular cycle.

cellbot accounts for affiliates are soft-deleted — historical records, commission ledger, and payout history are retained for accounting and audit purposes.

10. Programme Changes

cellbot reserves the right to modify these Terms, commission rates, payout schedules, tier thresholds, or any other aspect of the Programme at any time. Changes that materially reduce the commission rate or eligibility criteria for active affiliates will be communicated with at least 30 days’ notice via email to your registered address.

Continued participation in the Programme following the notice period constitutes acceptance of the revised Terms. If you do not agree to material changes, you may withdraw from the Programme before the changes take effect. Any commissions accrued before the effective date of a rate change will be paid at the old rate.

The lifetime Pro Plus commission offer (Section 1.3) is a grandfathered benefit — once granted, it cannot be revoked by subsequent programme changes for affiliates who qualified before the 30 June 2026 deadline.

11. General

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

These Terms constitute the entire agreement between you and cellbot with respect to the Programme, and supersede all prior discussions or agreements. If any provision of these Terms is found to be unenforceable, the remainder will continue in full force.
